General Terms and Conditions

of PARTORY s.r.o. (hereinafter referred to as the “Provider”)

I. Introductory Provisions

1. These General Terms and Conditions (hereinafter referred to as “GTC”) govern the rights and obligations regarding the use of the portal partory.com (hereinafter referred to as the “Portal”) and the conclusion of Contracts for Work between the Provider and the customer (hereinafter referred to as the “Client”).

2. These conditions are intended exclusively for business entities (B2B relationships).

II. Terms of Use of the Portal

1. Intellectual Property: All content on the Portal (texts, logos, design, source code) is the intellectual property of the Provider. Copying, data mining (scraping), or using the content for purposes other than agreed upon is prohibited without written consent.

2. User Account: The Client is responsible for securing their login credentials. The Provider bears no liability for account misuse by a third party if such misuse occurred due to insufficient security on the part of the Client.

3. Availability: The Provider does not guarantee uninterrupted availability of the Portal and is not liable for outages caused by technical maintenance or force majeure.

III. Inquiries and Conclusion of Contract

1. The Client submits an inquiry (technical drawings, 3D models) via the Portal.

2. Based on this data, the Provider prepares a Price Quotation.

3. The Contract for Work is concluded at the moment the Client bindingly confirms the quotation (issues an order) and the Provider confirms receipt of this order.

IV. Price and Payment Terms

1. Prices are quoted exclusive of VAT. Prices do not include shipping costs unless stated otherwise in the quotation.

2. Invoices are due within [14] days from the date of issue, unless agreed otherwise.

3. In the event of late payment, the Provider reserves the right to suspend the production of further orders or withhold the shipment of finished goods.

V. Protection of Intellectual Property (IP) and Data

1. Client Data: The Client declares that they are the legitimate owner of the uploaded documentation. The Provider undertakes to maintain confidentiality regarding all technical data and not to disclose it to third parties, with the exception of verified manufacturing partners necessary for the execution of the order.

2. Confidentiality: Manufacturing partners within the Provider’s network are bound by a Non-Disclosure Agreement (NDA).

VI. Delivery Terms and Quality

1. Delivery dates are indicative and are calculated in working days from the confirmation of the order and the receipt of all necessary documentation.

2. Production is carried out in accordance with the ISO 2768-m standard (medium tolerance), unless specified otherwise in the drawing.

3. The Client is obliged to inspect the goods upon receipt. Apparent defects or incompleteness of the delivery must be reported within [3] working days.

VII. Warranty and Claims

1. The Provider guarantees that the parts will be manufactured in accordance with the supplied documentation.

2. The Provider is not liable for defects caused by faulty design or drawings supplied by the Client.

3. In the case of a legitimate claim, the Provider has the right to remedy the defect through repair or replacement production.

VIII. Final Provisions

1. Legal relations are governed by the laws of the Czech Republic.

2. The Provider reserves the right to amend these GTC.
